Welcome to Milestone AI ("Milestone AI," "we," "us," or "our"). By accessing our website (milestoneaisystems.com) or purchasing our services, you ("you," "Client") agree to these Terms & Conditions ("Terms"). If you do not agree, do not use our services.

1. Description of Service

Milestone AI provides AI receptionist, AI sales, and business automation deployments for service businesses, including:

  • Mila AI Receptionist (productized $2,000 setup + $99/month)
  • Sarah AI Sales Assistant (custom-tailored)
  • Leo AI Sales Dialer (custom-tailored)
  • Smart Tracker (one-time $1,995)
  • AI Clone Full (one-time $1,750)

Specific deliverables, pricing, and timelines for each engagement are confirmed in writing at the time of purchase.

2. Eligibility

You must be at least 18 years old and authorized to enter contracts on behalf of your business to purchase our services. By purchasing, you represent that you meet these requirements.

3. Demo Calls and Free Consultations

Strategy calls and demos are free. Calls made to or from our AI receptionist may be recorded. By engaging with our demo line, you consent to recording for quality and training purposes.

4. Payment Terms

  • Setup fees are due in full before deployment begins, unless otherwise agreed in writing.
  • Monthly subscriptions are billed in advance. Failure to pay may result in service suspension after a 7-day grace period.
  • Payment methods are processed through Stripe or another approved payment processor. You authorize recurring charges for subscription services until cancelled.
  • Refunds are not provided for setup fees once development has begun. Subscription fees are non-refundable for the current month but you may cancel future months at any time.
  • Third-party platform costs (ElevenLabs, Twilio, Google Workspace, HeyGen, etc.) are billed separately to your accounts. Milestone AI is not responsible for those charges.

5. Cancellation

  • You may cancel your monthly subscription at any time by emailing info@milestoneaisystems.com with at least 7 days notice before the next billing cycle.
  • Upon cancellation, ongoing support and updates end. Your workflows remain in your accounts (n8n, Twilio, ElevenLabs, etc.), but Milestone AI no longer provides maintenance or troubleshooting.
  • One-time products (Tracker, AI Clone, Mila setup) do not auto-renew and have no recurring fee outside of the Mila monthly subscription where applicable.

6. License and Use Restrictions

Upon full payment, we grant you a non-exclusive, non-transferable license to use the deployment we build for you, subject to the following restrictions:

  • Single-business use — The deployment is licensed for use in one business or one location only. Additional locations or businesses require separate deployments.
  • No resale or sublicensing — You may not sell, sublicense, white-label, or otherwise distribute our workflows, prompts, or system designs to third parties.
  • No reverse engineering — You may not attempt to reverse-engineer our prompts or systems for the purpose of replicating them for resale.
  • Violation of these restrictions terminates your license and may result in legal action.

7. Intellectual Property

All workflows, prompts, software, designs, and methodologies created or used by Milestone AI remain the intellectual property of Milestone AI or its licensors. You receive a license to use them for your business as outlined above. You retain ownership of your business data, customer records, and content you provide.

8. Service Performance and Disclaimer

  • We aim for high availability but do not guarantee uninterrupted service. Third-party platforms (ElevenLabs, Twilio, Google) may experience outages outside our control.
  • AI agents are not perfect. They may misinterpret callers, miss appointments, or behave unexpectedly. Use of our service is at your own discretion and risk.
  • We provide reasonable support during active subscriptions but do not guarantee specific response times unless explicitly stated in a Service Level Agreement.
  • Our service does not constitute legal, financial, medical, or compliance advice. Clients are responsible for ensuring their use of AI agents complies with applicable laws (TCPA, HIPAA, state regulations, etc.).

9. Third-Party Services

Our deployments rely on third-party platforms including ElevenLabs, Twilio, Google Workspace, HeyGen, n8n, and others. You must maintain active accounts with these providers and comply with their terms. Milestone AI is not responsible for third-party platform failures, billing issues, account suspensions, or policy changes.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Milestone AI's total liability to you for any claim arising from our service is limited to the amounts you have paid us in the 12 months preceding the claim.
  • We are not liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, lost data, or business interruption.
  • This limitation applies regardless of the legal theory (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold Milestone AI harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of our services in violation of these Terms or applicable laws.
  • Your failure to obtain required consents from your customers for call recording, SMS, email, or data processing.
  • Content or instructions you provide that infringe on third-party rights.

12. Compliance Responsibility

You are solely responsible for ensuring your use of our AI agents complies with all applicable laws, including but not limited to:

  • TCPA (Telephone Consumer Protection Act) — for SMS and call automation.
  • State-level consent and recording laws.
  • CAN-SPAM Act — for email marketing.
  • HIPAA, if you operate in healthcare.
  • Industry-specific rules (Medicare SOA, insurance compliance, etc.).

Milestone AI provides tools, not legal compliance. Consult with your own attorney or compliance officer.

13. Termination

We may suspend or terminate your service for:

  • Non-payment of fees.
  • Violation of these Terms.
  • Use of our system for illegal, abusive, or fraudulent activity.
  • Reasonable business decision with 30 days notice.

14. Dispute Resolution

Any dispute arising from these Terms will first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, disputes will be settled by binding arbitration in Milwaukee County, Wisconsin, under the rules of the American Arbitration Association. You waive any right to participate in class actions.

15. Governing Law

These Terms are governed by the laws of the State of Wisconsin, USA, without regard to conflict-of-law principles.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last Updated" date. We will notify active clients via email when terms change. Continued use of the service after changes means you accept the updated Terms.

17. Entire Agreement

These Terms, together with any signed engagement letter or service agreement, constitute the entire agreement between you and Milestone AI. If any provision is found unenforceable, the remainder remains in effect.
